- Initial Public Offering of Meglamedia Corp. Represented Meglamedia Corp, a media production company, in its public offering of 1,000,000 shares of common stock.
Stock and Asset Purchase
- Lead associate representing international company in its acquisition of a software game company, stock and related property. Drafted and negotiated stock and asset purchase agreement, real property transfer documents, intellectual property licensing agreements, and OEM agreements.
- Represented, Gold Inc., and its formerly wholly-owned subsidiary GRO, in the domestic and international offering of 4,000,000 shares of GRO common stock and GRO.s repurchase of 2,000,000 of common stock.
- Representing AB Capital, the largest shareholder of Black Inc., in the acquisition by CUD of convertible preferred stock of Black for $10.1 million, and in the structuring of related strategic mutual distribution alliance.
Mergers and Acquisitions
- Represented Puma Technology Inc., in its acquisition of IntelliLink Corp. Structured and implemented transfer and consolidation of all assets.
- Represented LTD with respect to its ownership of Movies Inc., to provide financing for the purchase of the book rights and subsequent production of the film based on the book March.
- Represented Prefex Inc., and MNF in the acquisition offer for and in the election contest for control of Rest Corporation.
- Representing banking investment partnership in its venture capital investment and related licensing of A Corporation, a company that provides a cellular network for data and voice communications.
